List is saying $33,060 but what should be my hardball/walk away offer??

I paid $31k for an MSRP of $34k. I would think you could get away with under $30k.

 

So was that w/ everything, tax & fees?

No, that was just the selling price. Then there was a service fee around $800 and tax was $2300 here in Arkansas.
