Just quick question I want to put a fire extingusher on inside of my tool box lid. My plan is to drill in to my toolbox from the top and attach the holder. My question is do I need to put any time caulking or gasket around the hardware to keep the lid water proof. If so what would you suggest?

A few additions to make me feel cool.
I think you should rethink this plan! Get a shop to weld an aluminum bracket on the inside if you must have it in that location.

I had some ditch lights mounted on my toolbox lid and used some rubber grommets in the holes. Never had an issue with water getting in any more than usual.

I would use RTV/silicone, if you plan on bolting it on. Not sure how thick your lid is, but Id look into some sort of reinforcement plate on the other of it. Would suck if a 10lb extinguisher slowly tore the holes open from minor movement and vibrations, causing it to leak.
