Reddit saying Cohen will not trigger MOASS prior to annual meeting is incorrect. Hypothesis is that's because directors are compensated in stock by calculating $X,XXX,XXX divided by the current stock price.

That much is accurate, but the vesting schedule (in form 8-K) says they do not begin receiving stock until their first year of work has passed. they are not granted stock until the first business day of the first fiscal quarter following commencement of employment.

Additionally I believe I've read if they want to contest vote results (for example if there is an extreme overvote) it needs to be contested *prior* to the meeting.

This assumes all fiscal quarter dates are the same, and honestly I don't know if that's accurate...

Alright so quick update. What I posted is accurate with regard to officers, but not directors.

Director compensation is linked directly to the annual meeting by using the average share price for the 30 days prior to the meeting. Problem is I was looking at 8-K forms and not the proxy statement.

However I think what I said still applies, as officer compensation starts the first day of the next quarter after hire. So if they started after 04/01/2021, then they would not be granted stock until 07/01/2021, and should GameStop wish to not screw them as they may wish to not screw directors, then that means they may prefer MOASS is after 07/01/2021.
