Still think TITNC3: Return of the Iceberg was peak

Well this is kinda sad and unfortunately true.

 

BBIG's 8K is not for Vinco. It's an independent audit for TYDE. TYDE's 12A/B is stacked with all sorts of stuff. It's gonna take a while for me to read all the legalese.

Without getting too much into the filings they both tell me one thing. BBIG's valued TYDE and TYDE has all of it's ducks in a row. Seems like the spin-off will be sooner rather then later. On or about this month is my guess.

 

One important thing so far. TYDE's shares outstanding will be 20.3M. 1.5M of that is locked up in a SPA. So 18.8M will trade after distribution. I'll be checking NASDAQ every day for a TYDE CUSIP. lol

 

When do I get my shares?

 

On the distribution date. Duh. lol

 

If you’ve got nothing nice to say……

 

How about this for nice. TYDE's pro forma capitalization is $54M. It's outstanding debt is $7M. Those are the kind of figures I like to see. It's got some breathing room to grow.

 

Finally got to the goods. That capital is coming from two SPA's. A PIPE and a convertible note. The warrant price on the PIPE is $8. The warrant price on the note is $10. Note's due on JAN 2025. The Note will convert to 3.3M shares.

The PIPE has got to be Hudson Bay's 1.5M shares. There's conditions for that to happen listed but no date.

So given the small float there will ONLY be a maximum of a 25% increase in it by 2025.

Bullish as fuck.

 

I got a pretty letter today. I wish I had a yacht to read it on.

 

By JUNE 30th 2022. Seriously. There's a clause in the convertible note that the issuer can terminate their obligation if the spin-off has not happened by then.

Glad I kept 1k now, probably going to let it go this week

 

im +18% on this ticker and am also considering jumping ship while I’m up.

 

But it’s nowhere near $100 yet
