Thoughts on the report of Cohen liquidating $BBBY already...
Short swing rule requires any person owing a reportable % of a stock (insiders etc) cannot profit from a buy/sell withing a 6 month period. If they do they must return all profits TO the company...So he essentially performed a stock offering for the company without increasing the float. They make $20 for every share he sold...I bet it even has better tax implications for Him and $BBBY

 

That appears to have been debunked. That rule only applies if you're already "in the game" so to speak as an officer of the company, or an institutional holder.

His initial buy in was his ticket in, so the rule does not apply.

 

Ive heard this said by many people, and shot down by just as many. People say its 10% of the stock, Ryan had 9.8%, but the buyback put him up to 11%. Some are saying he bought in may, other say in January. Ill let the dust settle to find out what I am doing.

He wasn't 10% owner at time of the stock purchase, he only became one after the buy back. I can't imagine the rule would work retroactively?

Why is this shit always so difficult to understand.

I'm reading the Buy Back was completed in 2021/1Q feb 2022...

 

And I've been seeing all over that the buyback was still on-going through the last couple weeks. Didn't keep any receipts though.

I do know that it was confirmed during the completion of RCs buy-in he was not a 10% holder.

Edit: He filed the 10k or whatever last week indicating that he had just become over 10%. So that lends credence to the theory he was not at 10% previous to that filing.

 

One thing I find funny about BBBY, when it was tanking, GME was also tanking.... the only thing the 2 have in common is Ryan, but he is still in on GME. Unless people are selling GME thinking Ryan is going to ditch that too...

The holding period only applies to restricted securities. Because securities acquired in the public market are not restricted, there is no holding period for an affiliate who purchases securities of the issuer in the marketplace.
